Agent Desk Service Terms

These terms govern Agent Desk services supplied by Oakhampton Capital Pty Ltd (ABN 58 684 868 915), Level 38, 71 Eagle Street, Brisbane QLD 4000, Australia (“Oakhampton”).

Scope and price

The checkout description, agreed proposal and acceptance checks form the service scope. “From” prices and deposits cover only the stated starter scope. Material changes require written agreement. AUD card prices are charged in AUD. USDC invoices state an exact amount, Base network and 24-hour expiry. Sending another token or network may result in permanent loss.

Payment and commencement

Work starts after verified payment and receipt of reasonably sufficient inputs. Card payment is verified through Stripe; USDC payment requires confirmed on-chain receipt to the stated wallet. A deposit is credited against the agreed project price unless stated otherwise. Prices include GST only where expressly stated at checkout or on the tax invoice.

Customer responsibilities

You must have authority to provide all materials and access, keep backups, provide accurate instructions, and review outputs before production use. Do not submit credentials or unnecessary sensitive information. You remain responsible for business, legal, tax, medical, employment, investment and regulated decisions.

Delivery, acceptance and revisions

We provide the agreed deliverables and reasonable evidence against acceptance checks. One consolidated revision round is included unless the scope states otherwise. Delivery dates depend on timely customer access, decisions and inputs.

Intellectual property

You retain ownership of your source materials. Once all agreed fees are paid, you receive rights to the bespoke deliverables described in the scope. Oakhampton retains its pre-existing tools, templates, methods, models, libraries and general know-how, with a licence to any embedded elements reasonably required to use the deliverable.

Confidentiality and providers

Each party must protect the other’s confidential information and use it only for the engagement. Oakhampton may use controlled contractors and technology, hosting, payment and AI providers to deliver the work, subject to appropriate restrictions.

Cancellation and remedies

Before work starts, you may request cancellation. We may deduct non-recoverable payment costs where lawful. After work starts, refunds for change of mind are limited to the unperformed portion where applicable. Nothing in these terms excludes, restricts or modifies rights or remedies that cannot lawfully be excluded, including applicable Australian Consumer Law guarantees.

Risk and liability

Automation and AI outputs can contain errors. You must conduct appropriate review and testing before relying on them. To the extent permitted by law, neither party is liable for indirect or consequential loss. Any permitted liability limitation does not apply where unlawful, or to fraud, wilful misconduct, confidentiality breaches or non-excludable statutory liability.

Acceptable use

Services must not be used for unlawful activity, deception, unauthorised access, malware, rights infringement, evasion of safeguards or harmful automated decisions.
